Esta columna sin duda es una invitaci\u00f3n a conocer mucho m\u00e1s este tema, sus riesgos y limitaciones.<\/p>\n<p class=\"parra1\">El <strong>emprendedor<\/strong> natural es todo y todos al inicio de la empresa. \u00c9l, es el \u00fanico accionista, es el <strong>representante legal<\/strong>, hasta el contador (o, al menos, lo pretende). En estas situaciones no existe riesgo alguno de fraude pues todas las situaciones son tocadas por su decisi\u00f3n.<\/p>\n<p class=\"parra1\">Cuando los proyectos crecen, es necesario delegar responsabilidades y dicha delegaci\u00f3n implica en s\u00ed mismo el riesgo de no decidirlo todo.<\/p>\n<p class=\"parra1\">En una empresa peque\u00f1a e incluso mediana, con pocos trabajadores, los socios mantienen el control sobre los grandes aspectos de la compa\u00f1\u00eda, pero delegan la funci\u00f3n de <strong>representante legal <\/strong>en el gerente, o en quien dirige la operaci\u00f3n. Este nombramiento, muchas veces motivado por la confianza o la necesidad de contar con alguien que siempre est\u00e9 presente, es normalmente una decisi\u00f3n que no sopesa sus implicaciones reales<\/p>\n<p class=\"parra1\"><strong>El representante legal<\/strong> es la voluntad de la empresa, es quien obliga o compromete a la compa\u00f1\u00eda con su firma o manifestaciones, mientras que los socios carecen de tal poder. Un ejemplo t\u00edpico puede ser el de cualquier empresa listada en bolsa, ninguno de sus accionistas, ninguno de los por ejemplo 434.136 accionistas de Ecopetrol pueden, con su firma, decidir sobre el destino de un barril, un l\u00e1piz o un empleado de la compa\u00f1\u00eda, pues todos, o por lo menos la mayor\u00eda, han escogido al representante legal, para que sea quien decida no s\u00f3lo sobre barriles, l\u00e1pices o empleados, sino tambi\u00e9n acerca de la compra de compa\u00f1\u00edas, llevar a cabo exploraciones o invertir en nuevas empresas.<\/p>\n<p class=\"parra1\">Esto mismo pasar\u00e1 con cualquier compa\u00f1\u00eda. Por tal raz\u00f3n, es necesario limitar el poder del <strong>representante legal<\/strong> para que deba consultar a los accionistas sobre las decisiones que pueden afectar de forma grave la sostenibilidad o el futuro de la persona jur\u00eddica.<\/p>\n<p class=\"parra1\">Ahora, se\u00f1or empresario-emprendedor, pi\u00e9nselo: \u00bfqui\u00e9n es el representante de su empresa? \u00bfRecuerda si en los estatutos estableci\u00f3 alguna limitaci\u00f3n? Si la respuesta es no, entonces su <strong>representante legal<\/strong> puede, desde firmar acuerdos y contratar empleados, hasta comprar casas, ser codeudor de obligaciones ajenas, e incluso, decidir sobre explotaciones petrol\u00edferas, si su objeto social lo permite.<\/p>\n<p class=\"parra1\">En el sistema legal, estas limitaciones se determinan en los estatutos de la compa\u00f1\u00eda, com\u00fanmente mediante un par\u00e1grafo en el que figuran las funciones del <strong>representante legal<\/strong> y as\u00ed, con esto, figurar\u00e1n en adelante de forma p\u00fablica en el Certificado de C\u00e1mara y Comercio de su empresa, de forma que cualquier persona puede revisar cu\u00e1les son los poderes del <strong>representante Legal<\/strong> y, por lo tanto, NO PUEDE alegar su desconocimiento. Esto es, que si su representante vende o contrata sin tener poder para ello por cuanto no estaba autorizado, dicha operaci\u00f3n no s\u00f3lo no obliga a su empresa, sino que implica la responsabilidad personal del representante y ser\u00e1 \u00e9l quien tendr\u00e1 que responder como deudor solidario o en la obligaci\u00f3n de buscar petr\u00f3leo, por ejemplo.<\/p>\n<p class=\"parra1\">Muchas compa\u00f1\u00edas llevan esta l\u00f3gica al absurdo, e imponen limitaciones que hacen imposible la operaci\u00f3n de la empresa. Si usted impide que el <strong>representante legal<\/strong> firme contratos o establece como l\u00edmite una cuant\u00eda demasiado baja en las operaciones que pueda realizar, se requerir\u00e1 la autorizaci\u00f3n de Acta de Asamblea de accionistas para que pueda suscribir cualquier documento.
